Terms and Conditions

Read the following terms carefully. By you signing up as a subscriber with Synergy Multimedia Ltd. (hereinafter simply usenet) you agree to be bound to the following agreement. Inextricably linked to these general conditions is the acceptable use policy and privacy policy.

Article 1 Definitions

The following definitions appear in this agreement:
1.1 The "acceptance dates" are the date on which the subscriber signs up and places an order by means of the website of Simply Usenet and accepts this agreement as part of the sign up process.
1.2 The "service" is understood as the possibility by means of the technical facilities of simply usenet of obtaining access to usenet.
1.3 The "subscriber" is understood as the natural person with which simply usenet have concluded a subscription.
1.4 "parties" shall mean simply usenet and subscriber jointly.
1.5 "website" shall mean simply usenet's website at www.simplyusenet.co.uk

Article 2 General

2.1 On all relations, including future, between simply usenet and the subscriber, these terms and conditions apply, unless parties have agreed otherwise in writing that different terms and conditions shall apply to that subscriber.
2.2 These terms and conditions replace any other previous terms and conditions that may have been in effect previously.
2.3 Each simply usenet offer are entirely without engagement and can, within 7 days after reception of the acceptance of such an offer, be revoke unless parties have agreed otherwise in writing.
2.4 Simply usenet may make changes to these terms and conditions, abuse use policy, and privacy policy at any time. The changes shall becoming effective when posted on to the website.
2.5 The subscriber shall be notified at least one month before any changes to our terms that we believe may cause you material disadvantage.
2.6 Simply may not be able to meet the timescale in paragraph 2.5, where it is required to make changes due to legal requirements.
2.7 The subscriber agrees to check the website periodically for any changes to our terms and conditions, abuse use policy and privacy policy.
2.8 The current version of our terms and conditions and policies shall be available online on our website.
2.9 The subscriber's use of the service, after the updated terms have been posted on to the website, shall be treated as acceptance to the updated terms. If the subscriber does not agree to be bound to the changes, the subscriber must immediately cease use or our services.
2.10 The subscriber must be at 18 years or older on the acceptance date, to use our service.

Article 3 Subscriptions

3.1 A subscription is requested by placing an order and providing correct subscriber and payment details on the website of simply usenet.
3.2 After receiving the subscription request and payment from the subscriber for the chosen subscription. Simply usenet shall provide the subscriber with an email containing the username and password required to access the service. The details of the different subscriptions available can be found on the website.
3.3 The agreement between simply usenet and the subscriber is contracted for a period of one month, three months, six months or 12 months unless parties have agreed differently in writing. An invoice will be sent to the subscribers email address seven days before the next renewal date for the chosen period. The subscriber must pay the invoice before the due date, to ensure uninterrupted service. In the event of non payment before the next renewal date, the service to the subscriber shall be automatically suspended. The subscriber carries at any all times the responsibility for keeping up with their subscription period to ensure uninterrupted service, even if the e-mail with notice of renewal is not received for any reason whatsoever.
3.4 If the subscriber wants to change the subscription, he can visit the member section of website and click on downgrades/upgrades and select the subscription they would like to change to. The subscriber will have to pay the difference between the cost of the original subscription and the new subscription they are entering in to.
3.5 If the subscriber neglects one or more of its obligations contained in these terms and those inextricably linked to these terms, including its financial obligations, towards simply usenet. Simply usenet is permitted to terminate the subscription without notice.
3.6 Simply Usenet has the right at any time, to refuse, suspend or terminate any subscriptions for whatever reason, without notice.

Article 4 Tariffs

4.1 Unless parties have agreed otherwise, all agreements between simply usenet and the subscriber, regarding the prices are made available on the website. At the request of the subscriber the information will be transmitted concerning the appropriate tariffs.
4.2 Simply Usenet are authorized to change the price of its services and modify the service. If possible the subscriber will be notified 10 days in writing (including email) before the changes come in to effect.

Article 5 Payment

5.1 Dependent on what parties have agreed, the subscription cost on the acceptance date serves for the whole subscription period, 30 days or another agreed period to be paid in advance.
5.2 Simply Usenet accept payments through various payment gateways including PayPal. A full list of accepted payment methods is available on our website.

Article 6 Guarantees & Obligations

6.1 The subscriber guarantees that all information which has been supplied to simply Usenet is complete, accurate and current.
6.2 The subscriber is obliged by all of simply usenets obligations, instructions and restrictions.
6.3 The subscriber must behave in conformity with all appropriate laws and legislation and must use the service as what can be expected from a reasonable subscriber that adheres to simply Usenet terms and policies. Also, the subscriber when using the service must try as much as possible to prevent the interests and reputation of simply Usenet to be damaged.
6.4 The subscriber is disallowed in any way to use the service for illegal acts, the commission of criminal acts and / or acts which are contrary to the Netiquette, or the rules of the Internet community.
6.5 Without the explicit permission of simply usenet, it is not allowed for the subscriber to connect (components of) a network or other users, whether or not within its organization, in any way with (components of) the service of Simply Usenet.
6.6 If the subscriber fail to adhere with the preceding paragraphs of this article or simply usenet suspects that they user has broken their agreement, simply Usenet is entitled to take measures such as suspension of the obligation to provide the service. The subscriber in this is not entitled to a refund of prepaid fees, compensation or damages.

Article 7 Retention & Completeness

7.1 Simply Usenet does not guarantee retentions or completion rates. Retention and completion rates communicated by simply usenet are estimates which have been based on the amount of data at time of writing.
7.2 If the posting volume of Usenet decrease or increases, the available retention and completion rates can also increase or decrease, without notice.

Article 8 Copyright

8.1 The subscriber is not allowed to use our services to transfer or store any copyrighted works without prior permission from the copyright holder. The enormity of information that flows between Usenet networks makes it impossible for simply Usenet to monitor or moderate the content that is available on Usenet.
8.2 It is at all times up to the subscriber to determine the legal status of any intellectual property of products through our service used or duplicated. The possibility exists that copyrighted data may be available through the global Usenet service.
8.3 The subscriber agrees to the copyright law not to infringe copyrighted works by using the network to allow these works to be transferred or stored without the consent of the person who owns the copyright. Subscribers that do so will have their posting rights removed, and face suspension or termination of their subscription.

Article 9 Spam & Flooding

9.1 Simply usenet does not tolerate sending spam in any way and we take extreme measures to avoid the presence of spam on our servers as much as possible. We carry a zero tolerance in respect of subscribers who attempt to distribute spam via our servers. Although many types of material can be defined as spam, Simply Usenet does not allow any commercial publicity for products or services. In our policy for acceptable use you find further information on material that we consider inappropriate.
9.2 When a large number of items are posted disturbing a newsgroup useful aim for others or with the clear intention or the use of the newsgroup for others to disturb, Simply Usenet considers this as flooding. This abuse is considered at Simply usenet in the same category as DoS (Denial or service) and is seen as a serious abuse of the service.
9.3 If it is determined that flooding is taking place simply usenet is entitled to take measures, such as suspending the obligation to providing the service. The subscriber in this is not entitled to a refund of prepaid fees, compensation or damages.

Article 10 Controversial & Explicit material

10.1 Simply usenet is in no way responsible for the content of the communication from the subscriber through the service of simply usenet. Internet and Usenet are large communities that regard censorship as a serious crime. During use of the service, the subscriber may be exposed to materials that may be offensive to the subscriber. Examples include sexually explicit text (encoded) and images, debates between advocates and opponents of certain religions, questionable political views and hateful statements. Simply usenet expressly disclaims liability for any damage resulting from exposure to such material.
10.2 Simply Usenet has a zero tolerance policy in regards to subscribers that are guilty of uploading or downloading child exploitation content in any form whatsoever. Simply Usenet will permanently remove access to the service and terminate their account.

Article 11 Security & Privacy

11.11 By entering into the contract with the subscriber, simply usenet has assumed the obligation relating to the security of the service, but in the case of insufficient security simply Usenet is not liable for any damages, which the subscriber or third as a result suffer or has suffered.
11.2 If the subscriber observes or suspects that a third party has access to their personal subscription allowing them access to your account or to the service, they have to report this to simply usenet immediately, in writing (including email). The subscriber is at all times held liable for any damages resulting from such improper use of the service, not simply usenet.
11.2 The data of the subscriber listed in the records of simply usenet, which is only used for administrative purposes. Without the consent of the subscriber or court order, such information is not disclosed for other purposes or to third parties.

Article 12 Emergency

12.1 In emergency cases where it is reasonable, simply usenet is entitled with or without prior notification to the subscriber, to make whatever changes required to simply usenet service or undertake other (temporary) measures to ensure the continuity of the service. The subscriber will be informed as soon as possible.
12.2 Simply usenet is not liable for any damages or costs of the subscriber, resulting from the measures referred to in paragraph 1 of this article. If such measures are taken, the subscriber is not entitled unilaterally to evade its obligations.

Article 13 Force Majeure

13.1 Simply usenet is not liable due to a failure to perform obligations to the subscriber due to circumstances beyond its control. Examples include Acts of God, war, sanctions, disruptions in electricity supply or other faults which Simply usenet is not directly at blame, international conflicts, labour unrest among the staff of simply usenet or any third parties who provide services to Simply usenet, boycotts or any government. This list is not exhaustive.

Article 14 Liability

14.1 Nothing in these terms and conditions shall restrict or exclude either parties liability for death, personal injury or fraudulent misrepresentation or any other liability that cannot be exclude or limited by law. (resulting from simply usenet negligence or that of its directors, agents or employees)
14.1 Simply usenet is not liable for direct or indirect damage caused by a Subscriber (attributable) failure to perform any agreement or other obligation towards which is required from every Simply Usenet subscriber.
14.2 Simply usenet is not liable for any indirect damages, including consequential damages, damage to reputation or goodwill and financial losses including but not limited to loss of revenue, profits, contracts, business or anticipated savings, nor is Simply usenet obliged to compensate damage due to cancellations and / or inaccessibility of the Internet, trading loss, damage caused by the leaking of confidential data, damage caused by electronic payment or damages arising from claims by third parties against the subscriber.
14.3 Simply usenet is not liable for damage to the side of the subscriber which is caused by third parties, who may or may not use the service of simply usenet.
14.4 The subscriber indemnifies simply usenet for all claims of third parties (including losses, liabilities, costs, legal costs) and expenses relating to the use of the service by the subscriber and / or lack of compliance by the Subscriber of any obligation towards Simply usenet, whether or not arising from these terms and conditions.
14.5 The subscriber is always responsible for the consequences of failure in the performance of Simply Usenet to third parties, caused by or result of behaviour of the subscriber.
14.5 The simply usenet service is provided "as is" and at the subscribers own risk.

Article 15 Confidentiality

15.1 Simply usenet will never share or disclose subscriber information with any other third party, without the prior written (including e-mail) consent of the other party. The password for the subscriber will be regarded as confidential information and only the subscribers is responsible for protecting the confidentiality of their passwords, and prevent use by one third.
15.2 Confidential information shall include in any case all traffic for the subscriber, the provisions contained in these conditions and any other information on simply usenet that have not been made public at the time and the availability to the subscriber, as simply usenet classified confidential.
15.3 Confidential information includes information not in the public domain, independently developed without access to confidential information of the other party, is lawfully obtained from third or pursuant to law or court order should be made public.
15.4 The Subscriber acknowledges and accepts that the information provided for the payment of the subscription to simply usenet may be provide to companies at the request of simply usenet to perform work solely for the purpose of checking credit, processing payment on simply usenet behalf and / or facilitating the account of the subscriber.

Article 16 Final Provisions

16.1 All actions from the subscriber against simply usenet is limited to a period of one year after the claim arose.
16.2 After the conclusion of the contract agreements and / or any commitments made by or on behalf of simply usenet are binding only if confirmed by in writing.
16.3 If any of these terms are determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable it shall be severed and deleted from these Terms; the remaining Terms shall remain in full force and effect and continue to be binding and enforceable.
16.4 The failure or delay of simply usenet to exercise or enforce any right in these terms does not waive simply usenet's right to enforce that right.
16.5 The subscriber is required to notify simply usenet of any changes to their personal or payment details (including changes to email address) promptly in writing or by e-mail.
16.6 The relationship between the subscriber and simply usenet is governed by English law. Disputes between the subscriber and simply usenet are brought to the competent English court, which shall have exclusive jurisdiction over any disputes.
